Terms of Service

1. The service

FaiData (“we”, “us”) provides a virtual data room platform that streams files from your connected cloud storage and adds security features including NDAs, watermarks, analytics, and AI Q&A.

2. Accounts

You must be at least 18 and able to enter into a contract. You are responsible for keeping your credentials secure and for activity under your account.

3. Your content

You retain all rights to files in your connected drive. By using FaiData you grant us a limited licence to fetch, render, watermark, and display those files solely to operate the service for you and the viewers you invite. We do not persist your files.

4. Acceptable use

  • No illegal content or activity.
  • No malware, scraping, reverse engineering, or abuse.
  • No use of FaiData to mislead viewers about the source or contents of documents.
  • You're responsible for the legal basis of any NDA you serve through FaiData.

5. Fees

Paid plans are billed monthly or annually in advance and are non-refundable except where required by law. We may change pricing on 30 days' notice; existing prepaid terms are honoured.

6. Intellectual property

The FaiData platform, brand, and software are our property. Nothing in these terms transfers ownership of our IP to you, or of your IP to us.

7. Confidentiality

We treat your files and account data as confidential. We use reasonable technical and organisational measures to protect them — see our Security page.

8. Warranties & disclaimer

The service is provided “as is”. We do not warrant uninterrupted or error-free operation. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising from the service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect or consequential damages.

10. Termination

You may cancel at any time from your workspace settings. We may suspend or terminate accounts that violate these terms. On termination we delete your account data within 30 days; your files remain on your own storage, untouched.

11. Governing law

These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of London, except where consumer-protection law gives you the right to sue elsewhere.
